GENERAL TERMS

Apply to Partners who use the Raovie.com system.

These General Terms (hence referred to as “General Terms”) issued by Raovie.com (hereinafter referred to as “Raovie”) establish the rights and duties of partners operating on the Raovie system.

SECTION I. PARTNERSHIP

Partners using the Raovie.com system include, but are not limited to:

+ Raovie.com vendors

+ Users use Raovie.com to buy, sell, and trade items.

+ Raovie.com is used to market products and services.

SECTION II. COOPERATION FORM

Partners can collaborate with Raovie in the following ways:

+ Sign up for an account to use and buy on Raovie.com.

+ Purchase appropriate advertising and membership packages.

+ Exchange and buy and sell things with other Raovie.com members.

SECTION III. COOPERATION TERMS

ARTICLE 1: THE SCOPE OF THE COOPERATION

  1. By signing these General Terms, the Partner commits to become an active member of the Raovie.com system and to provide advertising services in line with US and international regulations.
  2. For each unique circumstance, the Parties may debate Campaign specifics such as the Campaign name, amount, form, and unit pricing.
  3. Raovie is recognised as the owner or has been granted permission to use the advertised service/product, including the trademark, domain name, logo, and all features and benefits.
  4. The Parties agree that Raovie owns all ownership rights to the brand identity and service website domain name, and Raovie does not grant the Partner or any third party the right to duplicate, interfere with, disrupt, or damage any of the Service’s features or nature in any way without Raovie’s written consent.
  5. Outside of the area of cooperation indicated above, these general conditions shall not create any agency, association, or other binding connection between the Parties.

ARTICLE 2: TERM OF COOPERATION

The period of cooperation between the Parties is formed from the day the Partner affirms agreement to the contents of these General Terms and is approved to become a member of the Raovie.com system to the date:

– The partner’s account on the Raovie.com system has been locked or is temporarily unable to operate

– The Raovie system is no longer operational

ARTICLE 3. REGISTERED ACCOUNT

  1. To utilize the Raovie.com system, the Partner must first register to create an online account with a username and password (hence “Account”).
  2. The Partner agrees to utilize the most recent, accurate, and full information for the Registered Account and to quickly update it if anything changes. Raovie is not responsible for erroneous or out-of-date information on the Partner’s account.

Individual Partners must provide the following information:

– A copy of your ID/identity card/passport;

– Telephone number;

Organizations/Businesses must provide the following information.

– A duplicate of the Business Registration Certificate or an equivalent document

– Telephone number;

  1. The Partner’s successful registration of an account constitutes acceptance of the conditions of these General Terms.
  2. The Partner is responsible for keeping the Account secure and secret, and every access to the website using the Account is considered an activity by the Partner.
  3. Accounts will not be made public, and they may not be transferred or transferred in any form. In the event that a third party is suspected of using the Account, the Partner must inform Raovie for assistance in dealing with the situation.
  4. Raovie will keep information regarding Partners secret and will consider it as Raovie’s Confidential Information.

ARTICLE 4: PARTNER RESPONSIBILITIES

  1. The partner is required to advertise products/services on Raovie in line with the agreed-upon scope of cooperation at his own expense. The Partner assures that the advertising utilized by the Partner are not misleading, do not break traditions or laws, and do not contradict the established Raovie rules.
  2. On the basis of data exported from Raovie’s system, the partner collaborates to check, confirm, and pay according to the terms of these General Terms.
  3. Partner does not utilize banned types of advertising, promotional materials that breach Intellectual Property Law, or make illegal use of pictures, sounds, or promotional materials of any other third party.
  4. The Partner ensures the confidentiality of the Account’s information.
  5. The Partner understands and agrees that during the operation, the Raovie.com system may be inaccessible or not function properly for a variety of reasons, including but not limited to: I system failure; (ii) routine maintenance; or (iii) unforeseeable events beyond Raovie’s control, such as widespread network failures, hackers, and so on. The Partner then promises not to file a claim or file a lawsuit against Raovie.
  6. The Partner agrees that the Partner’s media, such as Website, Fanpage, Blog… I do not violate or contain content that violates the law, customs, fine traditions, and violence, or make a negative impression on the user; (ii) are stable and meet technical requirements; (iii) can connect to the Raovie.com system and display advertising content; and (iv) do not contain directly or indirectly harmful sources such as viruses, spam, and so on that affect Raovie.
  7. Partners do not make arbitrary changes to promotional materials without Raovie’s permission. Raovie is excused from relevant responsibilities in the event of a third-party claim, lawsuit, or dispute arising from the Partner’s breach of the content of this article.
  8. In order to be recorded as income throughout the operation, the Partner agrees not to perpetrate any fraud. Raovie maintains the right to keep a complete record of the Partner’s operations and to conduct periodic inspections and evaluations. In the event of a violation, Raovie has the right to take the fraud-handling actions outlined in Article 5 below.

ARTICLE 5: HANDLING FRAUD

  1. Types of Fraud

Willful use of illegal tools, violation of Raovie’s regulations for the purpose of revenue recognition, or unlawful interference with Raovie’s systems are all deemed fraud.

Fraudulent behavior encompasses, but is not limited to, the following:

– Interfering with taovie.com’s server system.

– Interfering with the Raovie.com system and causing unexpected results; or causing data fabrication;

Raovie has the following rights if it finds fraud from a Partner:

– Refrain from cooperation;

– Secure your account.

– File a claim for compensation if the system is harmed.

ARTICLE 6: SECURITY, NON-COMPETITION, AND OTHER REGULATIONS

  1. During the collaboration, the Partner realizes that the Partner has access to Raovie’s Confidential Information and is obligated to respect and utilize the information correctly.
  2. The Partner accepts and understands that the Partner will not utilize Raovie’s Secret Information for personal advantage and will always keep such information confidential. The Partner will not use, disclose, publish, transfer, or distribute information to any third party for any purpose other than to serve the content of the Parties’ collaboration.
  3. The terms of this article also apply to all people with rights and responsibilities connected to the scope of cooperation’s execution, such as managers, consultants, appropriate Partner departments, and direct staff. carry out the task.

ARTICLE 7: LIABILITY EXCLUSION

In any case, Raovie is not liable for any claims or claims of a third party arising from the Partner’s actions while implementing advertising activities on Raovie.com. Obligations owed to third parties as a result of the Partner’s activity are solely the Partner’s responsibility.

ARTICLE 8: TERMINATION OF COOPERATION

Cooperation between the Parties will be terminated in the following circumstances:

  1. The Parties agree to end their collaboration;
  2. One of the Parties is dissolved or insolvent;
  3. Force majeure events occur, causing a Party to be unable to continue performing its obligations for a period of three (3) consecutive months despite doing everything possible to overcome.
  4. If the Partner violates the provisions of the General Terms and fails to complete the repair and remedy the breach within the time limit that Raovie notifies the Partner. In this instance, the Partner must compensate Raovie for all real and direct damages.

ARTICLE 9: OTHER TERMS

  1. The terms of these General Terms are regulated by US law.
  2. Any disagreement that arises during the course of collaboration will be handled first via dialogue between the Parties. If a solution cannot be achieved via discussion or mediation, a Party may submit the matter to a competent court in the United States.
  3. This basic clause remains in effect even if one of the Parties changes its staff or management structure (split, split, amalgamation, merger, transformation).
  4. Raovie reserves the right, in its sole discretion, to change and augment these General Terms to fit the business environment and current legal laws.
